Terms of Service
The agreement that governs your use of ArmPay.

Agreement to terms
These Terms are a binding agreement between you ("you", the merchant) and Tigran, Individual Entrepreneur (ԱՁ) registered in the Republic of Armenia, Yerevan, the legal entity operating EcomHub and the ArmPay Shopify application ("we", "us", "our").
By installing the ArmPay Shopify application, you agree to be bound by these Terms of Service. If you do not agree, uninstall the app and discontinue use.

Description of service
ArmPay is a Shopify application that connects your store to Armenian bank payment gateways (VPOS). It enables your customers to pay using Visa, Mastercard, and ArCa cards through your bank's secure hosted payment page.
ArmPay facilitates payment processing but does not act as a payment processor, acquiring bank, or financial institution.

Requirements
To use ArmPay, you must:
- —Have an active Shopify store
- —Have a valid VPOS acquiring contract with a supported Armenian bank
- —Provide accurate bank VPOS credentials in the app
- —Comply with your bank's terms of service for online payments
- —Operate a legitimate business in compliance with applicable laws

Pricing
ArmPay pricing at the time of installation:
- —Monthly subscription: $9.99 / month
- —Transaction fee: 1% per successful payment (capped at $1,000 / month)
Billing is handled through Shopify's billing system. You can cancel your subscription at any time with 7 days' notice.

Refund policy
Subscription fees for ArmPay are non-refundable except where a refund is required by applicable law.
Merchants may cancel at any time in accordance with Section 11 (Termination). We do not provide prorated refunds for partial months of service — access continues until the end of the current billing period and no further charges are issued.
Transaction fees charged on successful payments are not refundable, including in cases where a customer is later refunded by your bank or where a chargeback is filed. Refunds and chargebacks of the underlying payment are handled directly between you and your acquiring bank.

Your responsibilities
- —Keep your bank VPOS credentials secure and up to date
- —Ensure your bank acquiring contract remains active
- —Handle customer disputes, chargebacks, and refunds with your bank
- —Comply with all applicable laws regarding online commerce and payments
- —Provide accurate product descriptions and pricing to your customers
- —Not use ArmPay for illegal, fraudulent, or prohibited activities

Payment processing disclaimer
All payment transactions are processed directly by your bank through their VPOS gateway. We are not responsible for:
- —Transaction approvals or declines by your bank
- —Bank fees, exchange rates, or settlement timing
- —Chargebacks or payment disputes
- —Bank system downtime or maintenance
- —Fund settlement between your bank and your business

Service availability
We strive to maintain high availability of the ArmPay service. However, we do not guarantee 100% uptime. We may perform maintenance or experience outages that could temporarily affect payment processing. We will make reasonable efforts to notify you of planned maintenance in advance.

Intellectual property
The ArmPay application and all associated code, designs, and branding are the intellectual property of EcomHub. You may not copy, modify, reverse-engineer, or create derivative works based on ArmPay without our written consent.

Limitation of liability
To the maximum extent permitted by law, EcomHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, or business opportunities, arising from your use of ArmPay.
Our total liability for any claims arising from these terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

Termination
You may stop using ArmPay at any time by uninstalling the app from your Shopify store. We may suspend or terminate your access if you violate these terms, engage in fraudulent activity, or if required by law.
Upon termination, your bank credentials will be deleted within 30 days. Outstanding subscription charges are handled through Shopify's billing system. No prorated refunds are issued for partial months (see Section 5).

Indemnification
You agree to indemnify and hold harmless EcomHub from any claims, damages, losses, or expenses arising from your use of ArmPay, your violation of these terms, or your violation of any third-party rights.

Changes to terms
We reserve the right to modify these Terms of Service. We will notify you of significant changes via email or through the ArmPay dashboard. Continued use after changes constitutes acceptance.

Governing law & dispute resolution
These Terms are governed by the laws of the Republic of Armenia.
The parties shall first attempt to resolve disputes informally by contacting [email protected] within 30 days of the dispute arising. If the dispute is not resolved within 60 days of that first notice, it shall be submitted exclusively to the courts of Yerevan, Republic of Armenia.
